SYARAT DAN KETENTUAN MITRA-USAHA.ID

Dengan mengakses dan menggunakan situs mitra-usaha.id (“Platform”), Anda menyatakan telah membaca, memahami, dan menyetujui seluruh ketentuan dalam Syarat dan Ketentuan, Kebijakan Privasi, serta Kebijakan Kurasi yang berlaku dan merupakan satu kesatuan yang tidak terpisahkan.

A. Definisi

    1. Platform adalah situs web mitra-usaha.id yang dikelola oleh Mitra Usaha.
    2. Pengguna adalah setiap pihak yang mengakses Platform, baik sebagai pengunjung, Supplier (Vendor), maupun calon Pembeli (Buyer).
    3. Supplier / Vendor adalah pelaku usaha yang mendaftarkan profil usaha, produk, atau layanan untuk ditampilkan di Platform.
    4. Pembeli / Buyer adalah pihak yang menggunakan informasi di Platform untuk tujuan komunikasi atau penjajakan kerja sama bisnis.
    5. Konten adalah seluruh informasi, data, dokumen, gambar, foto, teks, dan materi lain yang diunggah atau ditampilkan di Platform.
    6. Kurasi adalah proses seleksi, verifikasi administratif, dan peninjauan konten sesuai Kebijakan Kurasi Platform.

B. Ruang Lingkup dan Peran Platform

    1. Platform berfungsi sebagai media promosi, direktori usaha, dan penghubung informasi bisnis (B2B).
    2. Platform bukan marketplace, tidak menetapkan harga, dan tidak memfasilitasi pembayaran atau pengiriman.
    3. Platform bukan pihak dalam transaksi, perjanjian, atau hubungan hukum apa pun antara Supplier dan Pembeli.
    4. Segala bentuk komunikasi, negosiasi, kesepakatan, dan transaksi dilakukan langsung antara Supplier dan Pembeli.

C. Penggunaan Platform

    • Pengguna wajib:
    1. Menggunakan Platform sesuai hukum dan peraturan yang berlaku.
    2. Memberikan data dan informasi yang benar, akurat, dan dapat dipertanggungjawabkan.
    3. Tidak menyalahgunakan Platform untuk tujuan yang melanggar hukum, etika bisnis, atau hak pihak lain.
    • Pengguna dilarang:
    1. Mengunggah konten palsu, menyesatkan, atau melanggar hak kekayaan intelektual.
    2. Mengakses atau menggunakan data pribadi pengguna lain tanpa hak.
    3. Mengganggu keamanan, sistem, atau operasional Platform.

D. Akun dan Data Pengguna

    1. Data yang dikumpulkan dan diproses oleh Platform mengikuti Kebijakan Privasi mitra-usaha.id.
    2. Pengguna bertanggung jawab atas keamanan akun dan data akses masing-masing.
    3. Platform berhak menggunakan data non-transaksional untuk:
      • Keperluan operasional
      • Kurasi
      • Peningkatan kualitas layanan
      • Promosi Platform (tanpa melanggar Kebijakan Privasi)

E. Ketentuan untuk Supplier

    1. Supplier menyatakan dan menjamin bahwa:
      • Usaha dan produk adalah sah secara hukum
      • Konten yang diunggah adalah milik sendiri atau memiliki izin yang sah
    2. Supplier bertanggung jawab penuh atas:
      • Keakuratan deskripsi produk
      • Legalitas dan kepatuhan produk
      • Informasi spesifikasi, sertifikasi, dan klaim
    3. Seluruh konten tunduk pada Kebijakan Kurasi Platform.
    4. Supplier memahami dan menyetujui bahwa:
      • Tidak semua pengajuan akan ditayangkan
      • Penayangan bukan jaminan transaksi atau permintaan pembelian
      • Platform berhak menolak, merevisi, menangguhkan, atau menghapus konten

F. Kurasi, Penayangan, dan Pengelolaan Konten

    1. Platform menerapkan proses kurasi sesuai Kebijakan Kurasi.
    2. Platform berhak:
      • Melakukan penyuntingan minor untuk kejelasan dan konsistensi
      • Menonaktifkan konten yang melanggar kebijakan atau hukum
    3. Platform tidak berkewajiban untuk menampilkan seluruh konten yang diajukan.
    4. Penilaian kurasi bersifat internal dan final.

G. Ketentuan untuk Pembeli / Buyer

    1. Informasi di Platform bersifat informatif dan promosi awal.
    2. Pembeli wajib melakukan verifikasi lanjutan secara mandiri.
    3. Platform tidak bertanggung jawab atas:
      • Kualitas, kuantitas, atau kesesuaian produk
      • Pelaksanaan transaksi
      • Sengketa bisnis antara Pembeli dan Supplier

H. Hak Kekayaan Intelektual

    1. Seluruh identitas visual, sistem, dan merek Platform adalah milik Mitra Usaha.
    2. Hak atas konten Supplier tetap menjadi milik pemiliknya masing-masing.
    3. Dengan mengunggah konten, Supplier memberikan izin non-eksklusif kepada Platform untuk:
      • Menampilkan
      • Menggandakan
      • Mempromosikan konten dalam konteks Platform

I. Batasan Tanggung Jawab

    1. Platform tidak bertanggung jawab atas kerugian langsung maupun tidak langsung akibat:
      • Penggunaan Platform
      • Ketergantungan pada informasi konten
      • Hubungan bisnis antar pengguna
    2. Platform tidak menjamin:
      • Ketersediaan layanan tanpa gangguan
      • Bebas dari kesalahan atau keterlambatan informasi

J. Penangguhan dan Penghentian

    • Platform berhak untuk:
    1. Menangguhkan atau mengakhiri akses pengguna yang melanggar:
      • Syarat dan Ketentuan
      • Kebijakan Privasi
      • Kebijakan Kurasi
    2. Menghapus konten atau akun tanpa kewajiban kompensasi.

K. Perubahan Kebijakan

    1. Platform dapat memperbarui Syarat dan Ketentuan, Kebijakan Privasi, dan Kebijakan Kurasi.
    2. Perubahan berlaku sejak diumumkan di Platform.
    3. Penggunaan berkelanjutan dianggap sebagai persetujuan atas kebijakan terbaru.

L. Hukum yang Berlaku

    • Seluruh ketentuan ini tunduk dan ditafsirkan berdasarkan hukum Republik Indonesia.

By accessing and using mitra-usaha.id (the “Platform”), you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions, together with the Privacy Policy and Curation Policy, which form an integral and inseparable part of this agreement.

A. Definitions

    1. Platform refers to the website mitra-usaha.id operated by Mitra Usaha.
    2. User means any individual or entity accessing the Platform, including visitors, Suppliers, and Buyers.
    3. Supplier means a business entity or individual that submits business profiles, products, or services to be displayed on the Platform.
    4. Buyer means any party using the information on the Platform to initiate business communication or explore commercial opportunities.
    5. Content includes all data, text, images, photos, documents, descriptions, and materials displayed or submitted on the Platform.
    6. Curation refers to the internal review and selection process conducted in accordance with the Platform’s Curation Policy.

B. Platform Role and Scope

    1. The Platform operates as a B2B business directory, promotion, and business information platform.
    2. The Platform:
      • Is not an online marketplace
      • Does not set product prices
      • Does not process payments, logistics, or shipments
    3. The Platform is not a party to any transaction, agreement, or contractual relationship between Suppliers and Buyers.
    4. All negotiations, agreements, and transactions are conducted directly between Suppliers and Buyers.

C. Use of the Platform

    • Users agree to:
    1. Use the Platform in compliance with applicable laws and regulations.
    2. Provide accurate, truthful, and up-to-date information.
    3. Respect the rights of other Users and third parties.
    • Users are prohibited from:
    1. Uploading false, misleading, or unlawful content.
    2. Infringing intellectual property or proprietary rights.
    3. Misusing data or information obtained from the Platform.
    4. Interfering with the security or operation of the Platform.

D. User Data and Privacy

    1. Personal data is collected, processed, and protected in accordance with the Privacy Policy.
    2. Users are responsible for maintaining the confidentiality of their account credentials.
    3. The Platform may use non-transactional data for:
      • Platform operations
      • Curation and quality control
      • Service improvement
      • Platform promotion, in compliance with the Privacy Policy

E. Supplier Obligations

    1. Suppliers represent and warrant that:
      • Their business activities are lawful
      • Submitted Content is accurate and legally owned or authorized
    2. Suppliers are fully responsible for:
      • Product descriptions and specifications
      • Legal compliance of products and services
      • Any claims, certifications, or representations made
    3. All Content is subject to the Platform’s Curation Policy.
    4. Display of Content does not guarantee business inquiries or transactions.
    5. The Platform reserves the right to reject, edit, suspend, or remove Content at its discretion.

F. Content Curation and Management

    1. The Platform applies a curation process to maintain quality and relevance.
    2. The Platform may:
      • Make minor edits for clarity and consistency
      • Remove Content that violates applicable policies or laws
    3. Curation does not constitute endorsement, certification, or commercial guarantee.
    4. Curation decisions are final.

G. Buyer Responsibilities

    1. Information on the Platform is provided for general informational and promotional purposes only.
    2. Buyers must conduct independent due diligence before entering any business arrangement.
    3. The Platform is not responsible for:
      • Product quality or conformity
      • Supplier performance
      • Commercial disputes or losses

H. Intellectual Property Rights

    1. All Platform branding, systems, and design are the property of Mitra Usaha.
    2. Supplier Content remains the intellectual property of the respective Suppliers.
    3. By submitting Content, Suppliers grant the Platform a non-exclusive, royalty-free license to display, reproduce, and promote such Content for Platform-related purposes.

I. Limitation of Liability

    1. To the fullest extent permitted by law, the Platform shall not be liable for:
      • Direct or indirect damages
      • Loss of business, profits, or data
      • Disputes between Users
    2. Use of the Platform is at the User’s own risk.
    3. The Platform does not guarantee uninterrupted or error-free service.

J. Suspension and Termination

    • The Platform reserves the right to suspend or terminate User access, with or without notice, if the User:
    1. Violates these Terms
    2. Breaches the Privacy Policy or Curation Policy
    3. Engages in unlawful or unethical conduct

K. Amendments

    1. These Terms may be amended at any time.
    2. Updated Terms will be published on the Platform.
    3. Continued use of the Platform constitutes acceptance of the revised Terms.

L. Governing Law

    • These Terms are governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to conflict of law principles.
