SYARAT DAN KETENTUAN UNTUK PEMBELI INTERNASIONAL MITRA-USAHA.ID

Dengan mengakses dan menggunakan mitra-usaha.id (“Platform”), Pembeli Internasional menyatakan telah membaca, memahami, dan menyetujui Syarat dan Ketentuan untuk Pembeli Internasional ini, serta Syarat dan Ketentuan Umum, Kebijakan Privasi, dan Kebijakan Kurasi yang berlaku dan merupakan satu kesatuan yang tidak terpisahkan.

A. Definisi Pembeli Internasional

Pembeli Internasional adalah individu atau badan usaha yang berdomisili di luar wilayah Republik Indonesia dan menggunakan Platform untuk tujuan:

    • Pencarian produk
    • Penjajakan pemasok
    • Komunikasi dan peluang kerja sama bisnis (B2B)

B. Peran dan Posisi Platform

    1. Platform berfungsi sebagai direktori usaha, media promosi, dan penyedia informasi awal B2B.
    2. Platform:
      • Bukan marketplace
      • Tidak menetapkan harga
      • Tidak memproses pembayaran, pengiriman, atau logistik
    3. Platform bukan pihak dalam transaksi, perjanjian, atau hubungan hukum apa pun antara Pembeli Internasional dan Supplier.
    4. Seluruh komunikasi, negosiasi, dan kesepakatan dilakukan langsung antara Pembeli Internasional dan Supplier.

C. Penggunaan Informasi di Platform

    1. Informasi produk, profil usaha, dan konten di Platform disediakan untuk tujuan informasi dan promosi awal.
    2. Informasi sepenuhnya berasal dari Supplier.
    3. Platform tidak menjamin:
      • Keakuratan mutlak
      • Ketersediaan produk
      • Kesesuaian komersial
    4. Pembeli Internasional wajib melakukan verifikasi dan uji tuntas (due diligence) secara mandiri.

D. Komunikasi dengan Supplier

    1. Kontak dan komunikasi dilakukan secara langsung melalui informasi yang disediakan Supplier.
    2. Platform:
      • Tidak memantau komunikasi
      • Tidak ikut serta dalam negosiasi harga
      • Tidak terlibat dalam penyusunan kontrak
    3. Setiap kesepakatan merupakan tanggung jawab penuh Pembeli Internasional dan Supplier.

E. Tidak Ada Jaminan atau Endorsement

    1. Penayangan Supplier atau produk di Platform bukan merupakan rekomendasi, jaminan, atau sertifikasi.
    2. Platform tidak memberikan jaminan atas:
      • Kualitas produk
      • Kinerja Supplier
      • Kesiapan ekspor
      • Kepatuhan terhadap regulasi negara tujuan

F. Kepatuhan Ekspor dan Impor

    1. Pembeli Internasional bertanggung jawab penuh atas:
      • Regulasi impor di negaranya
      • Bea masuk, pajak, dan biaya terkait
      • Standar mutu, label, dan sertifikasi produk
    2. Platform tidak memberikan:
      • Nasihat hukum
      • Konsultasi kepabeanan
      • Jaminan kepatuhan regulasi internasional

G. Kurasi dan Tanggung Jawab

    1. Platform menerapkan proses kurasi konten untuk meningkatkan kualitas tampilan dan kelayakan dasar.
    2. Kurasi bukan verifikasi menyeluruh dan tidak menggantikan uji tuntas Pembeli Internasional.
    3. Tanggung jawab akhir tetap berada pada Pembeli Internasional dan Supplier.

H. Batasan Tanggung Jawab

    1. Platform tidak bertanggung jawab atas:
      • Kerugian finansial
      • Kegagalan transaksi
      • Sengketa komersial
      • Ketidaksesuaian produk
    2. Segala risiko yang timbul dari hubungan bisnis sepenuhnya ditanggung Pembeli Internasional.

I. Hak Kekayaan Intelektual

    1. Seluruh merek, sistem, dan tampilan Platform adalah milik Mitra Usaha.
    2. Konten Supplier tetap menjadi milik Supplier masing-masing.
    3. Pembeli Internasional dilarang menggunakan atau mendistribusikan konten Platform tanpa izin tertulis.

J. Perlindungan Data dan Privasi

    1. Data pribadi Pembeli Internasional diproses sesuai Kebijakan Privasi mitra-usaha.id.
    2. Data inquiry dapat diteruskan kepada Supplier untuk tujuan komunikasi bisnis.
    3. Platform tidak menjual atau menyalahgunakan data Pembeli Internasional.

K. Penangguhan dan Penghentian Akses

    • Platform berhak membatasi atau menghentikan akses Pembeli Internasional apabila:
    1. Melanggar ketentuan ini
    2. Menyalahgunakan data Supplier
    3. Terlibat dalam aktivitas ilegal atau tidak etis

L. Perubahan Ketentuan

    1. Ketentuan ini dapat diperbarui sewaktu-waktu.
    2. Perubahan berlaku sejak diumumkan di Platform.
    3. Penggunaan berkelanjutan dianggap sebagai persetujuan atas ketentuan terbaru.

M. Hukum yang Berlaku

    • Ketentuan ini diatur dan ditafsirkan berdasarkan hukum Republik Indonesia.

By accessing and using mitra-usaha.id (the “Platform”), you acknowledge that you have read, understood, and agreed to these Terms for International Buyers, together with the General Terms & Conditions, Privacy Policy, and Curation Policy, which collectively govern the use of the Platform.

A. Platform Role and Nature

    1. Mitra-usaha.id operates as a B2B business directory, promotion, and sourcing information platform.
    2. The Platform:
      • Does not operate as an online marketplace
      • Does not set product prices
      • Does not facilitate payments, logistics, or customs clearance
    3. The Platform is not a party to any transaction, contract, or commercial agreement between Buyers and Suppliers.

B. Definition of International Buyer

An International Buyer refers to any individual or entity located outside Indonesia that accesses the Platform for purposes of:

    • Product sourcing
    • Supplier discovery
    • Business inquiry or partnership exploration

C. Use of Information

    1. All product listings, company profiles, and content are provided for informational and promotional purposes only.
    2. Buyers acknowledge that:
      • Product specifications, certifications, and availability are provided by Suppliers
      • Information may change without notice
    3. Buyers are responsible for conducting independent verification, including but not limited to:
      • Supplier legitimacy
      • Product compliance
      • Export/import requirements

D. Supplier Communication

    1. Communication between Buyers and Suppliers occurs directly, using contact details provided on the Platform.
    2. The Platform does not monitor, record, or intervene in:
      • Negotiations
      • Pricing discussions
      • Contractual arrangements
    3. Any agreement reached is solely between the Buyer and the Supplier.

E. No Guarantees or Warranties

    1. The Platform makes no representations or warranties regarding:
      • Product quality
      • Commercial suitability
      • Supplier performance
      • Export readiness or regulatory compliance
    2. Inclusion of a Supplier or Product on the Platform does not constitute endorsement.

F. Export, Import, and Regulatory Compliance

    1. Buyers are solely responsible for ensuring compliance with:
      • Import regulations of their destination country
      • Customs, tariffs, duties, and taxes
      • Product standards, labeling, and certifications
    2. The Platform does not provide legal, customs, or regulatory advice.

G. Curation Disclaimer

    1. The Platform applies a content curation process to improve presentation quality and basic eligibility.
    2. Curation does not imply:
      • Full legal verification
      • Commercial endorsement
      • Guarantee of export compliance
    3. Final responsibility remains with the Buyer and Supplier.

H. Limitation of Liability

    1. To the maximum extent permitted by law, the Platform shall not be liable for:
      • Direct or indirect losses
      • Business interruption
      • Contractual disputes
      • Product non-conformity
    2. Buyers agree that all risks arising from supplier engagement rest with the Buyer.

I. Intellectual Property

    1. All Platform branding, systems, and layout are owned by Mitra Usaha.
    2. Supplier content remains the property of each Supplier.
    3. Buyers may not reproduce, redistribute, or commercially exploit Platform content without permission.

J. Data Protection and Privacy

    1. Personal data is processed in accordance with the Platform’s Privacy Policy.
    2. Buyer inquiries may be shared with Suppliers strictly for communication purposes.
    3. The Platform does not sell Buyer data to third parties.

K. Suspension and Access Termination

    • The Platform reserves the right to restrict or terminate access for any Buyer who:
    1. Violates these Terms
    2. Misuses Supplier data
    3. Engages in unlawful or unethical activities

L. Amendments

    1. These Terms may be updated at any time.
    2. Continued use of the Platform constitutes acceptance of the updated Terms.

M. Governing Law

    • These Terms are governed and interpreted under the laws of the Republic of Indonesia, without regard to conflict of law principles.
